UTC Fire & Security to Acquire Finland’s Marioff Corp. Oy

FARMINGTON, Conn., May 14, 2007 – UTC Fire & Security, a business unit of United Technologies Corp. (NYSE:UTX), announced today an agreement to acquire Finland-based Marioff Corporation Oy, a global provider of water mist fire suppression systems for land and marine applications. The purchase price is €250 million plus net cash of €16 million.  The transaction is expected to close before the end of June, subject to regulatory approvals.

Marioff is a highly regarded global leader in the manufacture, design and service of water mist suppression systems.  It has business operations in 18 locations in 11 countries. Marioff expects 2007 revenues of more than €100 million and operating margins in the mid-teens.

“This is an important strategic acquisition for UTC Fire & Security.  Water mist suppression applications are a fast growing segment in the global fire safety industry.  This growth is being driven by changing regulations, environmental considerations and the efficacy of water mist applications.  Marioff has the leading technical solution in this segment with more than 900 patents issued worldwide.  With our technology expertise and worldwide network, we are well positioned to expand sales,” said William Brown, President, UTC Fire & Security.

Founded in 1985, Marioff established its reputation as a high quality supplier of water mist suppression systems for the marine industry. In the early 1990s, the company expanded to land based applications that now include fire protection systems in the industrial, commercial, public, transportation and infrastructure development sectors.

Marioff company founder, Goran Sundholm, said, “As a founder of the company and an innovator of the HI-FOG technology, I am pleased with the acquisition, and I believe UTC Fire & Security is the right owner for Marioff.   By allowing the company to maintain its identity and the HI-FOG brand, which has gained wide recognition within the industry, it is evident the milestones we have achieved within the field of water mist fire protection are respected and will be enhanced with the new ownership.”

The company employs approximately 350 people.  Current Marioff President Petteri Saarinen will remain with the company, along with the rest of the senior management team.

“By implementing UTC’s global expertise, capabilities and network throughout our business operations, I am confident that this acquisition offers a superior platform for Marioff’s continued global growth,” said Saarinen.  “Our organization will continue supplying HI-FOG solutions and associated services to our customers, with the confidence that we are satisfying their needs for protecting people, property and businesses."
